Article I. General Provisions

A. Object Access, Inc. and <customer>, herein referred to as Object Access
and the Customer, respectively, hereby enter into a Consultation and Support 
Contract, herein referred to as the Contract, for the following Programmer's
Reusable Library (PRL), Version 0.7, software libraries, herein referred to 
as PRL 0.7:

system platforms:

   <__> 11. VMS       - DEC VAX/VMS and/or DEC Alpha AXP/Open VMS

The Customer confirms that the library(ies) marked above have been or are
being purchased by the Customer for the platform(s) marked above, and will 
be covered under the Articles of this Contract as of the effective date of 
this Contract.  At least one library and platform must be so marked for the 
Contract to take effect.

B. Both parties agree that additional PRL 0.7 libraries, whether marked or
unmarked in the first list above, that are purchased by the Customer for any 
of the platforms marked in the second list above, such purchase being made 
while this Contract is in effect, are automatically covered under the Articles 
of this Contract at no additional charge for the remaining effective period 
of this Contract.

C. Both parties further agree that additional PRL 0.7 libraries, whether 
marked or unmarked in the first list above, that are purchased by the Customer
for platforms other than those marked in the second list above are excluded 
from coverage under the Articles of this Contract.  Consultation and support
requirements for libraries purchased for platforms other than those marked 
in the second list above must be addressed under separate contract.

D. The parties agree that this Contract shall apply only to consultation and 
support services for PRL 0.7, as detailed in Article II.  It does not 
encompass any other products or services such as

   1. Installation of, and training regarding the use of, PRL 0.7, other
      than consultation as specified below.

   2. Programming or software development services such as enhancement of
      PRL 0.7.

   3. Consultation and support for user-modifications or enhancements to
      PRL 0.7.

   4. Consultation and support for any software other than PRL 0.7.

It is the intent of both parties that, should any need for such additional 
products or services be identified, these needs would be addressed under 
separate contract.

E. The Customer designates the following individual as point of contact with
Object Access for activities covered under the terms of this Contract:

F. The Customer understands and agrees that Object Access provides PRL 0.7
"as is" without express or implied warranty.  Object Access does not accept
any responsibility, legal or otherwise, for

   1. PRL 0.7 or any other version of the Programmer's Reusable Library or its
      software predecessors or successors, nor

   2. Any of the Customer's software that uses, or is related to, PRL 0.7 in
      any way,

except as provided by the Articles of this Contract.

Article II. Object Access Responsibilities

A. For the duration of this Contract, Object Access will provide consultation 
and support services to the Customer for PRL 0.7 when contacted by the above-
specified Customer point of contact via phone, e-mail, paper mail, and/or 
fax (if available).

B. Consultation services covered under this Contract include:

   1. Answers to specific questions regarding the capabilities and use of
      PRL 0.7 for the Customer's legitimate purposes (training courses not
      included).

   2. Recording and consideration of Customer suggestions for improvements to 
      PRL 0.7, for possible inclusion in future Object Access products.

   3. Timely response to Customer requests for consultation covered under the
      terms of this Contract, the actual response time of which shall depend
      on the nature of the query being made.  For queries for which an
      immediate answer cannot be provided, Object Access will provide the
      Customer point of contact with an estimate of when an answer can be
      expected.

C. Support covered under this contract shall include:

   1. Investigation into, identification of the cause of and, if appropriate,
      development of corrections for PRL 0.7 software bugs identified by
      the Customer, when development of such corrections is feasible.

      Object Access shall be the sole judge as to the feasibility of
      developing corrections for PRL 0.7 software bugs.  While Object Access
      will make a reasonable effort to identify and correct all suspected
      PRL 0.7 software bugs reported under this Contract, the Customer
      understands and agrees that Object Access may deem it infeasible;
      either technically, commercially, managerially, or otherwise; to 
      develop a correction to any particular software bug.  Under no
      circumstances will Object Access declare the development of a
      correction to be infeasible simply as a means of avoiding a response
      to the Customer under this Contract.

   2. Delivery to the Customer of corrections for PRL 0.7 software bugs which
      have a severe adverse impact on the Customer's work, and for which no
      work-around is available, such delivery to occur as soon as practicable
      after development of the correction, in a form suitable for a field
      upgrade of the software by the Customer, at no additional charge to the
      Customer.

   3. Delivery to the Customer of corrections for PRL 0.7 software bugs for
      which a work-around is available, or for PRL 0.7 software bugs which do
      not have a severe adverse impact on the Customer's work, such delivery
      to occur either

      a. In the manner described in Article II.C.2 above, or

      b. In the form of a new release of the Programmer's Reusable Library,
         in a timeframe to be determined by Object Access, at the applicable
         software upgrade terms of the new version,

      at the discretion of Object Access.

   4. When deemed necessary jointly by the Customer and Object Access, travel
      to the Customer's site for investigation into or correction of PRL 0.7
      software bugs, with all expenses paid for by the Customer.  In addition,
      the Customer agrees to pay an on-site rate of $75 per hour, said on-site
      rate only to be payable in the event the cause of the Customer-reported
      problem is found and, if due to a PRL 0.7 bug, a correction to PRL 0.7
      is developed and installed in a time-frame that meets the Customer's
      operational need.

   5. Free upgrades for new releases of the Programmer's Reusable Library
      when such releases occur during the time period in which this Contract
      is in effect, such acquisition under these terms to exclude any attendant
      free Consultation and Support Contract.

   6. Granting to the Customer a "preferred user" status, with attendant
      consideration in unspecified, but tangible, ways such as providing,
      for sale or for free, items such as, but not restricted to, software
      tools, tips and advice, and advance information that is not provided
      or made available to the general public or to customers without a
      consultation and support contract.

D. Object Access will respond to Customer requests for consultation and support
covered under the terms of this Contract via phone, e-mail, paper mail or fax, 
at the discretion of Object Access, regardless of the means by which the 
request was initiated.

E. Object Access will explicitly respond to all Customer requests for 
consultation and support covered under the terms of this Contract, including
requests for which the appropriate response is negative.

Article III. Customer Responsibilities

A. The Customer agrees to provide Object Access with all information that
Object Access deems necessary to reply to a Customer-initiated request for
consultation or support such as, but not limited to, customer software 
demonstrating suspected bugs in PRL 0.7.  The Customer understands and agrees
that failure to provide such information when requested by Object Access
relieves Object Access of all responsibilities detailed in Article II with 
regard to that particular request for consultation or support.

B. The Customer agrees to cooperate with Object Access in the improvement of
PRL 0.7 by providing Object Access with any ideas, suggestions, or code
modifications that the Customer may identify or develop for improving the
PRL 0.7 code and documentation for the duration of this Contract.

Article IV. Funding

In exchange for the consultation and support services detailed in Article II,
the Customer agrees to provide Object Access payment of <$xxxx.xx.>

Article V. Liability of the Parties

A. Except as provided by paragraph B of this Article, below, the parties
agree to a no-fault, nosubrogation interparty waiver of liability under which
each party agrees not to make any claim against the other for the injury or
death of any person, or for damage to or loss of any property, attributable
to Object Access or the Customer or their employees, agents, contractors,
subcontractors, or principle investigators, arising as a result of activities
expressly or impliedly covered under this Contract, whether such injury,
death, damage, or loss is caused by negligence or otherwise.

B. The Customer agrees to indemnify and hold Object Access and its owners,
employees, contractors, and subcontractors harmless from any claim, judgment,
or cost arising from the injury or death of any person, or for damage to or
loss of any property, attributable to the Customer or its employees, agents,
contractors, subcontractors, or principle investigators, arising as a result
of activities expressly or impliedly covered under this Contract, whether such
injury, death, damage, or loss is caused by negligence or otherwise.

Article VI. Rights in Data

A. The term "data" as used herein, means recorded information, regardless of
form, the media on which it may be recorded, or the method of recording.  The
term includes, but is not limited to, data of a scientific or technical nature,
computer software and documentation thereof, and data comprising commercial
and financial information.

B. General: Data exchanged between the Customer and Object Access under the 
terms of this Contract will be exchanged without restriction as to its 
disclosure, use, or duplication, except as otherwise provided below in this
Article.

C. The Customer agrees to waive all proprietary rights to data developed by, 
or submitted to, Object Access under the terms of this Contract, and agrees
that Object Access may use all such data for its own commercial or private
purposes.

D. The Customer agrees to hold all data supplied to the Customer by Object
Access under the terms of this Contract as Copyright by Object Access, will
utilize any such data only within the Customer's own organization for the
Customer's legitimate business purposes, and will not disclose any such data 
beyond the Customer's own organization and employees, unless specifically
authorized in writing by Object Access.

Article VII. Consent for Assignment

Neither this Contract nor any interest arising under it shall be assigned by
the Customer or Object Access without the express consent of the officials
executing the Contract.

Article VIII. Effective Date, Duration, and Termination

A. This contract shall become effective immediately upon (1) the last signature 
hereto, and (2) receipt by Object Access of the payment detailed in Article IV,
whichever event occurs later.  This Contract will remain in effect for one (1) 
year, terminating at midnight of the date exactly one year from the effective 
date.

B. This Contract may be unilaterally terminated at any time by the Customer 
official that executed the Contract, or his authorized delegate or successor,
upon receipt of written notification by Object Access.  In the event of 
unilateral termination, no financial reimbursement shall be due the Customer 
by Object Access.

C. This Contract may be terminated at any time by mutual written agreement
between the officials that executed the contract, or their authorized delegates
or successors.  In the event of mutual termination, Object Access shall
reimburse the Customer his payment on a pro rata basis for the unused time
portion of the original one year term of the Contract, unless agreed otherwise
in writing.
